Institutional Terms & Governance

Terms of Service

Last updated: October 2026 · Iterchem Tecnologia Ltda.

These Terms of Service ("Terms") govern access to the institutional website of Iterchem Tecnologia Ltda. ("Iterchem") and the general conditions applicable to the EndoXplain computational toxicology and explainable AI screening platform.

01

Scope & Authorized Institutional Use

EndoXplain and the technical materials provided by Iterchem are intended strictly for professional, scientific, academic, and enterprise use by R&D, medicinal chemistry, toxicology, and regulatory affairs teams.

  • Access to the operational platform requires authenticated credentials tied to an authorized client organization.
  • Users may not reverse-engineer, systematically scrape model outputs to replicate proprietary weights, or share account credentials outside their authorized organization.
02

Intellectual Property Ownership

Our engagement model strictly protects the intellectual property rights of both the client organization and Iterchem:

  • Client Ownership: All submitted chemical structures (SMILES, SDF, CSV), proprietary assay records, and candidate series remain the sole and exclusive property of the client organization.
  • Iterchem Ownership: All underlying predictive models, software architecture, explainability workflows, trademarks ("Iterchem", "EndoXplain"), and documentation remain the exclusive intellectual property of Iterchem Tecnologia Ltda.
03

Scientific Decision-Support Disclaimer & Liability

EndoXplain is an in silico computational platform designed for candidate prioritization, hazard anticipation, and technical evidence generation:

  • Decision Support: Predicted risk scores, calibrated probabilities, uncertainty metrics, and exported reports are computational estimates intended to guide—not replace—mandatory experimental validation or qualified toxicological judgment.
  • Regulatory Filings: Final decisions regarding chemical synthesis, preclinical testing, product safety, and formal filings before regulatory authorities (including ANVISA, FDA, OECD, EMA, or IBAMA) remain the sole responsibility of the client organization.
04

Pilot Evaluations & Master Agreements

Enterprise deployments, custom model co-development, and paid pilot evaluations are governed by dedicated Master Services Agreements (MSA) and mutual Non-Disclosure Agreements (NDA) executed between Iterchem and the client institution.

05

Governing Law & Jurisdiction

These Terms are governed by the laws of the Federative Republic of Brazil, with exclusive venue in the courts of Goiânia, State of Goiás, Brazil. For legal or contractual inquiries, contact: contato@iterchem.com.br.
